These Terms of Service (“Terms”) govern your access to and use of the PRVNZ platform, websites, and APIs (the “Services”) provided by PRVNZ LLC, a company registered in the United Arab Emirates (“PRVNZ”, “we”).
1. Acceptance
By creating an account, signing an order form, or using the Services, you agree to these Terms. If you're using the Services on behalf of a company, you confirm you have the authority to bind that company.
2. The Services
PRVNZ provides a verification platform — issuance of digital product passports, recording of provenance and claims, AI-content marking, autonomous agents that operate across customer supply chains, and related developer tools. The specific scope of the Services for a given customer is set out in the applicable order form or pricing page.
3. Your account
You're responsible for keeping your account credentials confidential and for activity under your account. Notify us promptly of any unauthorized use.
4. Acceptable use
You agree not to:
- Use the Services for unlawful purposes or in violation of applicable export, sanctions, or trade laws.
- Issue passports or claims you know to be false or misleading.
- Attempt to interfere with the integrity of the verification record, the agents, or the underlying infrastructure.
- Reverse engineer the Services except as expressly permitted by law.
5. Customer data
You retain ownership of the data you submit to the Services. You grant PRVNZ the rights necessary to process that data in order to provide the Services. Personal data is handled per our Privacy Notice and Data Processing Addendum.
6. Fees
Fees are as set out in the applicable order form or on the pricing page. Unless otherwise agreed, fees are payable in advance, are non-refundable, and are exclusive of taxes.
7. Term and termination
These Terms apply for as long as you use the Services. We may suspend or terminate access if you materially breach these Terms and fail to cure within a reasonable period. On termination, you may export your data within 30 days; after that, we may delete it.
8. Warranties and disclaimers
We provide the Services with reasonable skill and care. To the maximum extent permitted by law, the Services are provided “as is” without other warranties, express or implied.
9. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages. Each party's aggregate liability under these Terms is limited to the fees paid by you in the 12 months preceding the event giving rise to the claim.
10. Indemnity
You agree to defend and indemnify PRVNZ against third-party claims arising from your data, your use of the Services in breach of these Terms, or claims you submit to the Services that you knew or should have known were false.
11. Governing law
These Terms are governed by the laws of the United Arab Emirates. Disputes will be resolved in the courts of the UAE, except that PRVNZ may seek injunctive relief in any jurisdiction to protect its rights.
12. Changes
We may update these Terms from time to time. Material changes will be notified by email or in-product. Continued use of the Services after the effective date constitutes acceptance.
